Business Law Services: Michigan LLC, Corporation, and Entity Formation

Noble Path Trademark Law can assist you with electing and forming a corporate entity that is best suited for your specific enterprise.

We can also properly draft your Articles of Organization, Partnership Agreements, Operating Agreements, Bylaws, and other constitutional documents and file them with the State of Michigan to launch your business.

Once formed, we can assist you with obtaining your EIN from the Internal Revenue Service and, of course, researching and registering your business name as a US trademark.

Michigan Entity Types

In Michigan, there are 4 primary business entity classifications:

  1. Sole proprietorships
  2. Partnerships
  3. Corporations
  4. Limited Liability Corporations (LLCs).

An entity can be for-profit, not-for-profit, or non-profit, furthermore.

Which entity is right for you?

It will depend upon the nature of your business, the number of partners or owners involved, and a variety of other factors.

Contract Drafting & Review

Contracts are legally binding agreement made between parties that acknowledges the rights and duties that govern the arrangement. Parties may go through several drafts and negotiations when drafting a contract before the finalization of the official contract. Although individuals can write their own contracts, the assistance of an experienced Michigan business law attorney will greatly maximize the odds that a court will agree, later, that the contract is binding.

Noble Path Trademark Law can draft or review and provide an opinion upon a variety of Michigan business contracts, including:

  • Purchase and Sale agreements.
  • Real estate mortgage, note, land contract, and related property agreements.
  • Commercial and residential property and real estate leases.
  • None-compete agreements and non-disclosure agreements (NDAs).
  • Shareholder and partner agreements.
  • And more.

A contract that is improperly drafted may be voided by a Michigan judge. Noble Path Trademark Law will ensure that your contract is what it appears to be and that it stands up to court scrutiny.

Commercial and Residential Lease Review and Drafting

The leasing or rental of a commercial or residential property can be a profitable venture or a disaster depending upon the quality of the lease contract between the lessor and lessee parties.

We have drafted commercial leases for businesses, negotiated favorable lease terms for commercial property renters, negotiated “early exits” from commercial leases for renters, and negotiated, drafted, and litigated residential rental leases.

Franchise Services

The decision to franchise your business is not a step to be taken lightly—and never without professional assistance. As a franchisor or franchisee, you are taking a big step with both your business and your finances.

A franchise requires the creation and frequent update and filing of a document known as a Franchise Disclosure Document, or FDD. The FDD is required by an Federal Trade Commission Rule ensuring that franchisees are given enough information by franchisors that they enter this contractual relationship with full knowledge of the costs, limitations, and risks involved.

While the FDD is required to be drafted in plain English and not legalese, franchisees, for their part, will want to have an FDD provided thoroughly reviewed by an attorney before deciding to move forward.

Noble Path Legal provides both drafting and review services for franchisors and franchisees, as well as state registration for the FDD and related documents as required by Michigan and other states’ individual requirements.

We also provide post-FDD and post-registration ongoing franchise disclosure update and amendment services.
